Cognitive Shield AI is licensed, not sold. The license grants a non-exclusive, non-transferable, revocable right to use the platform as a hosted service for the contracted term.
To the maximum extent permitted by Australian Consumer Law:
1. ACCEPTANCE. By activating, accessing, or using Cognitive Shield AI ("the Platform"), you ("Licensee") agree to be bound by these Terms of Service ("Terms") on behalf of the organization you represent. These Terms constitute a legally binding agreement between Licensee and Aussi-Nexus Group (ABN 76 947 108 181) ("Licensor"). If you do not accept these Terms in full, you must immediately cease use of the Platform.
2. LICENSE GRANT. Subject to timely payment and compliance with these Terms, Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for Licensee's internal security operations during the contracted subscription term.
3. ACCEPTABLE USE. Licensee must use the Platform only for lawful purposes and in accordance with applicable Australian law. Licensee must not use the Platform to monitor individuals unlawfully, circumvent encryption on unauthorized systems, or engage in any activity that violates the Privacy Act 1988 (Cth), Criminal Code Act 1995 (Cth), or any applicable state legislation.
4. DATA OWNERSHIP. Licensee retains ownership of its organizational data processed through the Platform. Licensor holds a limited license to process such data solely to deliver the contracted services. Licensor will not sell, share, or disclose Licensee data to third parties except as required by law or with Licensee's express written consent.
5. CONFIDENTIALITY. Both parties agree to maintain the confidentiality of proprietary information disclosed under this agreement for a period of five (5) years following termination, with perpetual confidentiality applying to trade secrets.
6. TERMINATION. Licensor may suspend or terminate access immediately upon breach of these Terms, non-payment of fees, or if continued use poses a risk to other customers. Licensee may terminate with 60 days' written notice prior to renewal. No refunds are issued for unused portions of contracted terms except as required by Australian Consumer Law.
7. GOVERNING LAW. These Terms are governed by and construed in accordance with the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland for the resolution of any disputes, without prejudice to Licensor's right to seek injunctive relief in any court of competent jurisdiction.
8. ENTIRE AGREEMENT. These Terms, together with the Order Form and any executed Statement of Work, constitute the entire agreement between the parties and supersede all prior representations, warranties, or agreements relating to the Platform.
